This is the Privacy Policy governing Customer’s use of any of the Ketera Service/s and Site. By using any Ketera Service or Site, Customer consents to the Ketera Privacy Policy set out below. All terms not defined in this document have the meanings ascribed to them in the Subscription Agreement which by use of the Service and this Site Customer agrees to accept.

1. Definitions
   
  A) “Registration Information” means the information that Customer will be asked to provide on a registration form at the time Customer registers to become a user of the Site such as name, address, phone/fax number, email address and other personal information as well as information about Customer’s business.

B) “Publishing Information” means any information posted by Customer to Ketera.com to be published on the Site for public or third party access, through the publishing tools, which Customer is deemed to have given consent to Ketera to publish upon the publication of such information ("Publishing Information").

C) “Payment Information” means any information that Customer provides to establish a credit account with Ketera or its providers, or if Customer purchases a product or service from Ketera.com/sourcing or a vendor available through Ketera.com/sourcing.  Additionally, Ketera may collect information including billing information, credit card numbers and expiration dates and tracking information from checks or money orders.

D) “Statistical Information” means aggregate statistical information that Ketera gathers about its Site and Customers, such as IP addresses, browser software, operating system, pages viewed, number of sessions, unique visitors and so forth.

E) Registration Information, Publishing Information, Payment Information, Statistical Information and any information Ketera may collect from Customer through the use of cookies, or any other means, shall collectively be referred to as "Collected Information".
   
2. Use of Information
   
  Ketera uses Collected Information to: a) improve marketing and promotional efforts, b) statistically analyze site usage, c) improve content and product offerings, and d) customize the Site’s content, layout and service.  Ketera may use Collected Information to service a Customer’s Account, including but not limited to investigating problems, resolving disputes and enforcing agreements with Ketera.  Ketera does not sell, rent, trade or exchange any personally-identifying information of its Customers or users.  Ketera may share certain aggregate information based on analysis of Collected Information with its partners, customers, advertisers or potential customers.  Ketera may use Collected Information to execute marketing campaigns, promotions or advertising messages on behalf of third parties; however, in these circumstances, Collected Information will not be disclosed to such third parties unless Customer responds to the marketing, promotion or advertising message.

Registration Information: Ketera may use Registration Information to provide services that Customer requests or to contact Customer regarding additional services about which Ketera determines that Customer might be interested.  Specifically, Ketera may use Customer’s email address, mailing address, phone number or fax number to contact Customer regarding notices, surveys, product alerts, new service or product offerings and communications relevant to Customer’s use of the Site.  Ketera may generate reports and analysis based on the Registration Information for internal analysis, monitoring and marketing decisions.

Publishing Information: All of Customer’s Publishing Information will be publicly available on the Site and therefore accessible by any internet user. Any Publishing Information that Customer discloses to Ketera.com becomes public information and Customer relinquishes any proprietary rights (including but not limited to the rights of confidentiality and copyrights) in such information. Customer should exercise caution when deciding to include personal or proprietary information in the Publishing Information that Customer submits to Ketera.

Payment Information: Ketera does not maintain electronic or physical copies of Customer’s credit card information. While Ketera has in place up-to-date technology and internal procedures to guard Customer’s Payment Information against intruders, there is no guarantee that such technology or procedure can eliminate all of the risks of theft, loss or misuse. Ketera shall not be liable to Customer or any other person for any damages that might result from unauthorized use, publication, disclosure or any other misuse of Payment Information, including credit card information.

Statistical Information: Ketera uses Statistical Information to help diagnose problems with and maintain its computer servers, to manage the Site, and to enhance the Site and services based on the usage pattern data Ketera receives.  Ketera may generate reports and analysis based on the Statistical Information for internal analysis, monitoring and marketing decisions.  Ketera may provide Statistical Information to third parties, but when Ketera does so, Ketera does not provide personally-identifying information without Customer’s permission.
   
3. Disclosure of Information
   
  Ketera reserves the right to disclose Collected Information to relevant authorities where Ketera has reason to believe that such disclosure is necessary to identify, contact or bring legal action against someone who may be infringing or threatening to infringe, or who may otherwise be causing injury to or interference with, the title, rights, interests or property of Ketera, its Users, customers, partners, other web site users or anyone else who could be harmed by such activities.

Ketera reserves the right to disclose Collected Information in response to a subpoena or other judicial order, or when Ketera reasonably believes that such disclosure is required by law, regulation or administrative order of any court, governmental or regulatory authority.

If Ketera has reason to believe that a Customer is in breach of the Subscription Agreement or any other agreement with us, then Ketera reserves the right to make public or otherwise disclose such Collected Information in order to pursue its claim or prevent further injury to Ketera or others.
   
4. Cookies
   
  Ketera uses "cookies" to store specific information about Customer and to track Customer’s visits to the Site.  It is not uncommon for websites to use cookies to enhance identification of their users.  A "cookie" is a small amount of data that is sent to Customer’s browser and stored on Customer’s computer's hard drive.  A cookie can be sent to Customer’s computer's hard drive only if Customer accesses the Site using the computer.  If a Customer does not de-activate or erase the cookie, each time Customer uses the same computer to access the Site, Ketera’s web servers will be notified of Customer’s visit to the Site and in turn Ketera may have knowledge of Customer’s visit and the pattern of Customer’s usage.  Generally, Ketera uses cookies to identify a Customer and enable Ketera to access Customer’s Registration Information, Publishing Information or Payment Information so Customer does not have to re-enter it; gather statistical information about usage by Users; research visiting patters and help target advertisements based on User interests; assist Ketera’s partners to track User visits to the Site and process orders; and track progress and participation in promotions.

Customer can determine if and how a cookie will be accepted by configuring your browser's which is installed in the computer Customer is using to access the Site.  If Customer desires, Customer can change those configurations in its browser.  By setting Customer’s preferences in the browser, Customer accept all cookies, Customer can be notified when a cookie is sent, or Customer can reject all cookies. If Customer rejects all cookies by choosing the cookie-disabling function in Customer’s browser, Customer may be required to re-enter Customer’s information on the Site more often and certain features of the Site may be unavailable.
   
5. Security Measures
   
 

Ketera employs commercially reasonable security methods to prevent unauthorized access, maintain data accuracy and ensure correct use of information.

As a Registered User, Customer’s Registration Information, Publishing Information and Payment Information (if any) can be viewed and edited through Customer’s Account which is protected by Password.  Ketera recommends that Customer not divulge its Password to anyone.  Ketera personnel will never ask Customer for its Password in an unsolicited phone call or in an unsolicited e-mail.  If Customer shares a computer with others, Customer should not choose to save its log-in information (e.g., User ID and Password) on the computer.  Customer must remember to sign out of its Account and close his or her browser window when finished with each session.

No data transmission over the Internet or any wireless network can be guaranteed to be perfectly secured.  While Ketera makes reasonable commercial efforts to protect Customer’s information, no web site or company, including Ketera, can absolutely ensure or guarantee the security of any information Customer transmits to or through Ketera and Customer does so at Customer’s own risk.

   
6. Changes to Privacy Policy
   
  Any changes to this Privacy Policy will be communicated through a posting of an amended and restated Privacy Policy on Ketera’s Site.  Ketera’s posting of an amended and restated Privacy Policy will make such new Privacy Policy immediately effective.  Customer agrees that all Collected Information (whether or not collected prior to or after the new policy became effective) will be governed by the newest Privacy Policy then in effect.  If Customer does not agree to the new changes in our Privacy Policy, Customer must contact Ketera in writing (at the address set out below) and specifically request that Ketera return and/or destroy all copies of all or part of Customer’s Collected Information in Ketera's possession.  This Privacy Policy was last amended on July 21, 2008.
   
7. Correcting Customer’s Information
   
  Customer can access, view and edit its Registration Information, Publishing Information and Payment Information (if any) through Customer’s Account with Ketera.
   
8. Customer’s Feedback
   
  Ketera welcomes Customer’s continuous input regarding our Privacy Policy or our services provided to Customers. Customer may send us your comments and responses to customerservice@ketera.com.
